1. Agreement to Terms
By downloading, installing, or using SheetBridge ("App"), you agree to be bound by these Terms of Use. If you do not agree to these Terms, you should not use the App.
2. Description of Service
SheetBridge is a macOS application that allows users to convert and upload spreadsheet files to Google Sheets. The App requires authentication with a Google account to function.
3. License and Restrictions
3.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal or internal business purposes.
3.2 Restrictions
You may not:
- Modify, disassemble, decompile, or reverse engineer the App
- Rent, lease, lend, sell, redistribute, or sublicense the App
- Copy, reproduce, or make the App available over a network where it could be used by multiple devices simultaneously
- Remove, alter, or obscure any proprietary notices or labels on the App
- Use the App in any way that violates applicable laws or regulations
4. Account and Security
4.1 Google Account
To use SheetBridge, you must authenticate with a valid Google account. Your use of Google services is subject to Google's Terms of Service and Privacy Policy.
4.2 Security
You are responsible for maintaining the confidentiality of your Google account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Intellectual Property
5.1 Ownership
The App, including its content, features, and functionality, is owned by us and is protected by copyright, trademark, and other intellectual property laws.
5.2 Feedback
We welcome feedback, comments, and suggestions for improvements to the App. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use any feedback, comments, or suggestions you provide without any obligation to compensate you.
6. User Content
6.1 Your Files
You retain all rights to the files you upload through SheetBridge. By using the App, you grant us a limited license to access, process, and transmit your files solely as necessary to provide the App's functionality.
6.2 Prohibited Content
You agree not to upload, transmit, or share any content that:
- Infringes on intellectual property rights
- Contains harmful code, malware, or viruses
- Is illegal, defamatory, obscene, or otherwise objectionable
- Violates the privacy or rights of any third party
7. Subscriptions and Purchases
7.1 In-App Purchases
SheetBridge offers in-app purchases for full functionality. All purchases are processed through Apple's App Store and are subject to Apple's terms and conditions.
7.2 Billing and Refunds
All billing and refund inquiries must be directed to Apple, as they manage all payment processing for in-app purchases.
8. Updates and Changes
8.1 App Updates
We may update the App from time to time to improve performance, enhance functionality, address security issues, or comply with changes in laws or regulations. You agree to install updates as they become available.
8.2 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes through the App or by other means. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
9. Third-Party Services and Links
9.1 Third-Party Services
The App integrates with Google Drive and may contain links to third-party websites or services. We are not responsible for the content or practices of third-party services, and your interactions with these services are subject to their terms and privacy policies.
9.2 App Store
Your use of the App is also subject to the terms of agreement established by Apple's App Store from which you downloaded the App.
10. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APP WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT OR SERVICES PROVIDED THROUGH THE APP.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.
12. Indemnification
You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to your use of the App or violation of these Terms.
13. Termination
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the App shall be brought exclusively in the courts of Brazil.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
16. Entire Agreement
These Terms constitute the entire agreement between you and us regarding your use of the App and supersede all prior and contemporaneous written or oral agreements between you and us.
